Charity Terms & Conditions

Please read our Charity terms and conditions (“Terms”, “Terms of Service”, “Charity Terms”) carefully before using the https://www.assistall.co.uk website (the “Service”, “Site”, “Website”) operated by Assistall Ltd trading as Assistall (“Assistall”, “us”, “we” or “our”). By continuing to use the site, you (the “charity”, “partner”, “charity partner”, “website user”, “user”, “users”, “your”, “you”) agree to accept and comply by the following charity terms and conditions. These terms should be read in conjunction with our Privacy Policy and Cookie Policy. If you disagree with any part of our terms, you may not use our service.

These charity terms and conditions should be read in conjunction of our General Terms and Conditions.

Overview

Assistall.co.uk is a social enterprise owned and operated by a private limited company. The website is aimed at raising money for UK registered charities. Assistall is affiliated with a number of retailers, who pay us a small commission for referring clients that either make a purchase or complete an action. Assistall uses a profit share, with 50% of profits donated to charity. These funds are shared equally with the charity partners.

This is a binding contract. By registering as a charity partner, you agree to be bound by the Charity Terms and Conditions, which constitutes a binding contract between Assistall and you. You also agree to the General Terms and ConditionsPrivacy PolicyCookie Policy and any periodic or promotion terms which may be used by Assistall.

Charity Partners

A Charity Partner is any UK registered charity that has been accepted on to the Assistall charity partner program. Charity partners will receive an equal profit share of 50% of the affiliate-generated monetary profit of the Site divided amongst all charities signed up and active throughout the financial year period for which the profits are calculated. A pro rata basis may used to calculate the profit-share for partners who sign up later than 4 months of the start of each financial year.

By accepting these terms, charity partners are agreeing to receive sponsorship payments from Assistall. The charity partner will publicly support our service, allow us to use your logo in our printed material and online, and link from your website to ours, as per the UK Governments guidance on sponsorship.

Payments will be calculated and made annually, at the end of each financial year.

Qualifying Criteria

Assistall charity partnerships are welcome for all types of charity work, and in all locations. To qualify for a partnership, each charity must have:

  • A UK Charity Registration Number
  • A Website

You must also agree to receive charity sponsorship payments.

In some circumstances, exceptions may be made in regard to the above qualifying criteria.

Registering a Charity Partner

To register a charity with Assistall, a person authorised to act on behalf of the charity (“authorised representative”) may complete our registration form. The authorised representative must be aged over 16.

Information provided about a charity partner must be true, accurate and up to date.

By registering a charity, the authorised representative agrees they have the authority and authorisation to act on behalf of the charity they are registering, accepts that they will be the authorised representative for the charity they register (unless changed with us) and is allowed to enter into this agreement with Assistall.  We shall not be liable for any claims, damage or loses as a result of this agreement.

Charity partners must be registered in the UK and have a UK charity number, but can conduct services anywhere in the world.

Charity partners must have an active UK bank account and/or PayPal account. Charity partners are responsible for ensuring payment details are correct and up to date, and Assistall is not responsible for errors caused as a result of holding the incorrect details.

A charity partner is expected to have a positive purpose for our society. Any activities which are carried out by a charity partner must be within the boundaries of UK law. Charity’s that are deemed to be obscene, fraudulent, offensive, hateful, discriminatory or misleading will not be accepted and/or removed as a partner. Assistall, at its sole discretion, reserves the right to decide whether a charity’s purpose is positive.

Charity partners are responsible for informing us of any changes. These changes include a change to the authorised representative, address, website, phone number, charity number, etc.

The authorised representative is responsible for ensuring all log in information is kept secure and safe at all times, and prevent unauthorised access to the site.

Assistall is under no obligation to accept a charity partner application. Applications may be rejected at our sole discretion. We will inform you of the outcome of your application.

Affiliates

We endeavour to work with retailers and affiliates who are reputable and trusted. Assistall is not liable for any actions, damage or loss as a result of affiliates and third parties.

Charity Conduct

We ask charity partners to conduct their activities with the aim of helping make the world a better place.

We require charity partners to:

  • Conduct their activities and business legally and responsibly
  • Ensure contacts and details are kept up-to-date
  • Notify us of any changes that may affect our partnership

We reserve the right to immediately terminate any partnership or relationship if any terms are broken.

Contract Term

Assistall will provide charity partnership payments indefinitely, unless otherwise agreed, the contract is broken, or the charity is suspended.

Payments

Payments to charity partners will be made annually. Assistall reserves the right to withhold or deduct a payment if the actions of a charity partner are found to be fraudulent or in breach of our terms or charity terms.

Closing, terminating or suspending an account

If you wish to close your charity partner account, simply contact Assistall at any time via [email protected]. We endeavour to close all accounts within 2 weeks of receipt of your email requesting closure.

An account may be suspended, at our sole discretion, without liability, if in our opinion a charity partner has breached the terms or acted in manner that we deem unacceptable.

Assistall reserves the right to terminate a charity partner, without liability, if any terms are breached. Charity partners will forfeit their right to annual sponsorship payments if terminated.

Communication

By signing up to become a charity partner, you permit us to send you communications relevant to the your account, requirements of charity partners and general information that is relevant to you.

Updates

We reserve the right to amend and update these terms and conditions. Changes will be effective immediately.
